End User License Agreement

1. Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User") and Vigil Medical LLC ("Licensor") for the use of the Vigil mobile application ("Application"). By installing or using the Application, you agree to be bound by the terms of this EULA.

If you do not agree to this EULA, do not install or use the Application.

2. License Grant

Subject to the terms of this EULA, the Licensor grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Application on mobile devices that you own or control.
• Use the Application for your personal, non-commercial purposes.

3. License Restrictions

You may NOT:

• Copy, modify, or distribute the Application or any part thereof.
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Application.
• Rent, lease, lend, sell, sublicense, or otherwise transfer the Application to any third party.
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Application.
• Use the Application for any purpose that is unlawful or prohibited by this EULA.
• Use the Application to develop a competing product or service.

4. Health Data and Medical Disclaimer

The Application is a convenience tool and is NOT a medical device, NOT FDA-approved, and does NOT provide medical advice. The drug interaction checker is for informational purposes only. Always consult a qualified healthcare professional for medical decisions.

5. Intellectual Property

The Application and all copies thereof are proprietary to the Licensor and title thereto remains in the Licensor. All rights in the Application not specifically granted in this EULA are reserved to the Licensor. The Application is protected by copyright laws and international treaty provisions.

6. In-App Purchases and Subscriptions

The Application may offer in-app purchases and subscription services. These are processed by the platform store (Apple App Store or Google Play Store) and are subject to the store's terms and refund policies. The Licensor is not responsible for billing disputes with the platform store.

7. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The Licensor does not warrant that the Application will be uninterrupted, error-free, or free of harmful components. The Licensor does not warrant the accuracy or completeness of any drug interaction data or health information provided through the Application.

8. Limitation of Liability

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, HEALTH COMPLICATIONS, OR MISSED MEDICATIONS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APPLICATION.

THE LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE APPLICATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application and destroy all copies.

The Licensor may also terminate this EULA at any time by providing notice to you or by ceasing to make the Application available.

10. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12. Severability

If any provision of this EULA is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this EULA shall otherwise remain in full force and effect.

13. Entire Agreement

This EULA, together with the Privacy Policy and Terms of Service, constitutes the entire agreement between you and the Licensor regarding the Application and supersedes all prior agreements and understandings.
