1. Acceptance of Terms

By downloading, installing, or using the Vigil mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Vigil Medical LLC ("we," "our," or "us").

2. Description of Service

Vigil is a medication reminder and health management application that provides:

• Medication scheduling and persistent alarm reminders
• Drug interaction safety checks
• Adherence tracking and health reporting
• Prescription label scanning (OCR)
• Caregiver notification system (Care Circle)
• Health measurement logging
• Refill management and inventory tracking

3. Medical Disclaimer

You should always consult your physician, pharmacist, or other qualified healthcare provider regarding your medications. Drug interaction information provided by the App is for informational purposes only and may not be comprehensive. Never disregard professional medical advice or delay seeking it because of information provided by Vigil.

We do not guarantee the accuracy, completeness, or timeliness of any drug interaction data, medication information, or health recommendations provided through the App.

4. User Responsibilities

As a user of Vigil, you agree to:

• Provide accurate medication information when entering data into the App.
• Not rely solely on the App for critical medication management decisions.
• Maintain the security of your device, as health data is stored locally.
• Not use the App for any unlawful purpose or in violation of these Terms.
• Not reverse-engineer, decompile, or disassemble the App.
• Not attempt to gain unauthorized access to any part of the App or its systems.

5. Subscription and Payments

5.1 Free Tier

Vigil offers a free tier that allows you to manage up to 3 medications with core reminder and tracking features.

5.2 Premium Subscription

Premium features (unlimited medications, Care Circle, PDF reports, cloud sync, advanced drug interaction checker) are available through a paid subscription:

• Monthly: $4.99/month after a 7-day free trial
• Annual: $39.99/year (equivalent to $3.33/month)

5.3 Billing

Subscriptions are billed through Apple App Store or Google Play Store. Payment is charged to your store account at confirmation of purchase. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.

5.4 Cancellation

You may cancel your subscription at any time through your device's app store settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

6. Intellectual Property

The App, including its design, code, content, logos, and trademarks, is owned by Vigil Medical LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIGIL HEALTH SHALL NOT BE LIABLE FOR:

• Any missed medication doses, even if the App fails to deliver a reminder.
• Any adverse health outcomes resulting from reliance on the App's drug interaction data.
• Any loss of data stored on your device.
• Any indirect, incidental, special, consequential, or punitive damages.

Our total liability to you for any claims arising from or related to the App shall not exceed the amount you paid for the App in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Vigil Medical LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the App or violation of these Terms.

9. Termination

We may suspend or terminate your access to the App at any time, with or without cause, with or without notice. Upon termination, your right to use the App ceases immediately. Sections 3, 7, 8, and 10 survive termination.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through an in-app notification. Continued use of the App after changes constitutes acceptance of the updated Terms.
